1. Introduction

These Terms and Conditions ("Terms") govern your use of the CtrlAltComplete website and the services provided by CtrlAltComplete ("we", "us", "our"), a web design agency based at Office 1, Izabella House, 24-26 Regent Place, City Centre, Birmingham, B1 3NJ. By using our website or engaging our services, you agree to be bound by these Terms.

2. Services

We offer the following services:

  • Web Design: Custom website design and development.
  • Website Hosting: Managed WordPress hosting packages.
  • Website Support: Ongoing website maintenance and support packages.
  • Business Email: Professional email hosting with Microsoft 365.

Specific details, deliverables, and pricing for each project will be agreed upon in writing (via email or formal quote) before work begins.

3. Quotes and Pricing

All quotes are valid for 30 days from the date issued unless otherwise stated. Prices are in GBP and exclusive of VAT unless stated otherwise. We reserve the right to adjust pricing if the scope of a project changes significantly from the original brief.

4. Payment Terms

  • One-off projects: 50% deposit required before work commences, with the remaining 50% due upon completion before the website goes live.
  • Monthly payment plans: Available over 12 months. Payments are due on the agreed date each month.
  • Hosting and support: Billed monthly or annually in advance. Non-payment may result in suspension of services.
  • Late payments: We reserve the right to charge interest at 8% above the Bank of England base rate on overdue invoices, in accordance with the Late Payment of Commercial Debts (Interest) Act 1998.

5. Website Design Process

  • We will provide a draft design for your review and allow revisions included in the quoted price until you are satisfied with the website.
  • You are responsible for providing all content (text, images, logos) in a timely manner. Delays in providing content may affect the project timeline.
  • Estimated completion times (typically 7-10 working days) assume timely provision of all required materials.

6. Intellectual Property

  • Upon full payment, ownership of the website design and custom code transfers to you.
  • We retain the right to display the completed project in our portfolio unless agreed otherwise in writing.
  • Third-party assets (fonts, stock images, plugins) remain subject to their respective licences.
  • You are responsible for ensuring any content you provide does not infringe third-party intellectual property rights.

7. Hosting and Support Terms

  • Support hours included in your package are non-transferable and do not roll over between billing periods. However, any unused support hours will roll over to the next month and added to that month's support hours.
  • We reserve the right to suspend hosting services for websites that contain illegal, harmful, or abusive content.

8. Cancellation and Refunds

  • If you cancel a web design project after work has commenced, the deposit is non-refundable.
  • For monthly services (hosting, support, email), you may cancel with 30 days' written notice. No refunds are given for partial months.
  • We reserve the right to terminate services with 30 days' notice if terms are breached or payments are consistently overdue.

9. Limitation of Liability

To the fullest extent permitted by law, CtrlAltComplete shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of our services or website, including but not limited to loss of profits, data, or business opportunities. Our total liability for any claim shall not exceed the amount paid by you for the specific service giving rise to the claim.

10. Website Use

When using our website, you agree not to:

  • Use the website for any unlawful purpose.
  • Attempt to gain unauthorised access to any part of the website or its systems.
  • Transmit any viruses, malware, or harmful code.
  • Reproduce, duplicate, or exploit any part of the website without our written consent.

11. Third-Party Links

Our website may contain links to third-party websites. We are not responsible for the content, accuracy, or practices of these external sites. Visiting these links is at your own risk.

12. Force Majeure

We shall not be liable for any failure or delay in performing our obligations where such failure or delay results from circumstances beyond our reasonable control, including but not limited to natural disasters, power outages, internet service disruptions, or government actions.

13. Governing Law

These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

14. Changes to These Terms

We reserve the right to update these Terms at any time. Changes will be posted on this page with an updated "Last updated" date. Continued use of our services after changes constitutes acceptance of the revised Terms.
